Your terms. A Guide to Breaking Down Your First Private Business Invesment

Together We RISE: Rewarding Investments through Smart Education

Hello RISE Impact Enthusiasts,

I’ve always yearned for a holistic view of the world, especially when it comes to impact investing. This drive for comprehensive understanding began early in my career as a corporate engineer. I wanted to see how every piece fit into the larger picture, not just technically but also socially and economically. My engineering background gave me problem-solving skills, but I craved a deeper connection with my investments and the communities they affect.

I wanted knowledge beyond typical financial advice, which often felt like a sales pitch. I wanted to understand how my investments could drive real change, not just financial returns.

A crucial part of this journey was learning about all the ways to grow my money. I was determined not to let anyone talk me out of investing in private alternative assets just because it might not benefit them. The best portfolios are diverse, containing both public and private investments, and they can all be impactful. This diversity spreads risk and amplifies potential for positive change.

As a reminder, RISE maintains a comprehensive database of private vetted, exclusive, impactful investments that includes everything from startups to established funds and real estate, spanning all areas of impact. These opportunities vary; some have specific participation qualifications, while others are more accessible. We do this because we all have different levels of savings, communities, and can participate in impact at different levels. Either way, as always, let's share this valuable knowledge of values aligned investing with our loved ones, including our children (it's never too early to start!), friends, and broader community. With that said, let's explore this week’s impactful opportunity.

Breaking Down Your First Private Business Investment: A Practical Guide

As we've discussed, building and growing wealth involves investing in diverse assets like real estate, businesses, and intellectual property. A diverse portfolio, combining both public and private investments, is key. Private investments are particularly exciting due to their potential for high returns and the ability to drive innovation that can change the world. Today, we're focusing on early-stage business investments, which offer a unique opportunity to support groundbreaking innovations. This is the DIY approach to business investing, unlike DFY (Done For You) funds where a team handles the work for you.

Let’s break this down with a clear, step-by-step approach. Imagine you’re at a RISE meeting and hear about a new business turning food waste into beautiful, sustainable leathers. This opportunity aligns perfectly with your Sustainable Development Goals (SDGs), and you decide to allocate some of your savings to invest in startups like this one. Here's what to do next:

1. Receiving a Term Sheet

What is a term sheet? A term sheet is a non-binding agreement that outlines the basic terms and conditions of your investment.

What’s included? It details the company’s valuation, the amount of your investment, and your rights as an investor.

Purpose: It serves as a roadmap for your investment, explaining what you can expect and what is expected of you.

2. Understanding Convertible Notes

What is a convertible note? A convertible note is short-term debt that converts into equity, usually during a future financing round.

Conversion trigger: This conversion happens at a specific milestone, such as the company raising a certain amount of additional funding or reaching a particular valuation.

Why use it? It allows you to invest now and potentially receive equity later, depending on the company’s performance.

3. Timing Your Investment

Investing early: Higher risk because the company is less proven, but potentially larger returns if the company succeeds.

Investing later: Lower risk because the company is more stable, but smaller returns because the valuation is higher, meaning your investment buys less equity.

Making Informed Decisions

Understanding these terms and investment structures helps you make informed decisions. Align your financial contributions with your goals of driving positive change while seeking financial returns. By breaking down each step, you can approach impact investing with confidence and clarity, ready to make a meaningful impact.

🌊Investing in the Future of Health Tech🌊

Company Overview

Founded in 2020, this health technology company offers a personalized dental care platform, developing customized solutions like aligners and electric toothbrushes. By integrating digital scanning with local dentists' expertise, the goal is to democratize access to quality dental care and transform the dental health landscape, facilitating the shift from traditional to digital practices.

♻️ Impact Goals:

The digital dentistry revolution is here. The company provides the following solutions:

Free Scanner: A best-in-industry intraoral scanner for free, saving practices about $30,000 in upfront costs. The company conducts ongoing research and development on the best intraoral scanners in the market.

Intuitive Software: Free proprietary Chairside software, the fastest and easiest way to scan patients and submit lab cases all in one place. Chairside offers optional step-by-step guidance throughout the scanning process, making it easier to complete complicated procedures like full dentures and implants.

Lab Services:

Crown & Bridge

Night Guards

Implants

Digital Dentures

Clear Aligners

💰 Funding:

The company has raised $172.42M over 6 rounds. The latest funding round was a Series B - II for $150M on November 1, 2021. Valuation in September 2020 was $182 - $200M. The latest post-money valuation is from November 2021.

Pre money - Value before investment; Post money - Value After

💡 My Thoughts:

Nearly 50% of the dentists in the United States currently use digital intraoral scanners. Practices that adopt digital dentistry with this company see:

76% faster delivery

89% reduced remakes

$30k saved upfront

The company has integrated the intraoral scanner, the lab, and end-to-end support to bring greater restorative quality, visibility, and control.

Questions to Consider:

Does the company have any serious competitors?

Can this solution bring real help to practicing dentists and improve patient satisfaction?

How long is the company planning to stay private, or what's its exit strategy?

When is the company going to raise the next round of investments?
